Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Shape Workspace, a service provided by Shape MSP Ltd (“Shape Workspace”, “we”, “us”, “our”). By accessing, creating an account for, or using Shape Workspace, you agree to these Terms. If you do not agree, you must not use the service.

1. Who we are

Shape Workspace is a project and collaboration platform operated by Shape MSP Ltd, a company registered in England and Wales under company number 16136101.

2. About the service

Shape Workspace is designed to help users plan, manage, and collaborate on projects. Features may include project creation, milestones, tasks, templates, community features, AI-assisted planning, reporting, and related account tools.

Some parts of the service may be free, some may be available during a trial period, and some may require a paid subscription.

3. Eligibility and accounts

You must provide accurate information when creating an account and keep your account details up to date. You are responsible for keeping your login credentials secure and for activity that takes place under your account.

You must not share your account in a way that breaches these Terms, compromises security, or allows unauthorised access to paid features.

4. Trial access, subscriptions and billing

We may offer free plans, trial periods, and paid subscription plans. The features available to you will depend on the plan linked to your account at the relevant time.

Where a trial is offered, access to certain features may end automatically when the trial expires unless you move to a paid plan.

Paid plans are billed on the basis described at the point of purchase. You are responsible for providing valid payment details and for paying any applicable charges, taxes, or fees connected with your subscription.

If your payment fails, we may suspend or restrict access to paid features until payment is successfully made.

5. Cancellation and plan changes

You may cancel your subscription through the billing tools provided in your account, where available, or by contacting us. Unless stated otherwise at the point of purchase, cancellation will usually take effect at the end of the current billing period and future renewal charges should stop after that point.

Any statutory rights you may have as a consumer are not excluded by these Terms.

6. Acceptable use

You must not use Shape Workspace to:

• break the law or encourage unlawful activity;
• upload, store, or share harmful, abusive, defamatory, discriminatory, or fraudulent material;
• interfere with the security, stability, or availability of the service;
• attempt unauthorised access to accounts, systems, or data;
• use the platform to distribute malware, spam, or malicious code;
• misuse community features, shared templates, or collaboration tools.

7. User content

You are responsible for the projects, templates, messages, files, text, and other content that you create, upload, store, or share through Shape Workspace (“User Content”).

You confirm that you have the necessary rights to use and share your User Content and that it does not infringe the rights of others or break the law.

You keep ownership of your User Content. However, you give us a limited right to host, process, transmit, back up, display, and otherwise use that content as needed to operate, secure, and improve the service.

8. Public templates and community features

If you choose to make templates, posts, comments, or other material public or visible to other users, you are responsible for that decision.

We may remove, restrict, or moderate public content that we reasonably believe breaches these Terms, our Community Guidelines, applicable law, or the safe operation of the platform.

9. AI-assisted features

Shape Workspace may include AI-assisted features such as draft project or template generation. AI outputs are generated automatically and may be incomplete, inaccurate, generic, or unsuitable for your needs. You are responsible for reviewing and validating AI-generated content before relying on it.

We may set usage limits, eligibility rules, plan restrictions, or fair-use controls on AI features.

10. Intellectual property

The Shape Workspace service, including its design, branding, software, and non-user content, is owned by or licensed to us and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable right to use the service for its intended purpose, subject to these Terms.

You must not copy, reverse engineer, scrape, resell, or exploit the service except where the law clearly allows it or we have given written permission.

11. Availability and changes

We aim to keep Shape Workspace available and useful, but we do not guarantee uninterrupted or error-free access. We may update, improve, suspend, or withdraw parts of the service from time to time.

We may also change features, pricing, limits, integrations, or plan structures where reasonably necessary.

12. Suspension and termination

We may suspend, restrict, or terminate access to all or part of the service if:

• you breach these Terms;
• you misuse the service;
• payment is overdue for paid features;
• we reasonably believe action is necessary to protect users, systems, data, or the platform.

You may stop using the service at any time. If you want your account removed, you may contact us or use any account tools we make available for that purpose.

13. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to the paragraph above, Shape Workspace is provided on an “as available” basis. To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of opportunity, loss of business, loss of goodwill, or loss of data arising from your use of, or inability to use, the service.

If you use Shape Workspace as a consumer, these Terms do not affect any rights you have under applicable consumer law.

14. Business use

If you use Shape Workspace for business purposes, you are responsible for ensuring that the service is suitable for your organisation, workflows, governance, and compliance requirements.

Unless we have separately agreed otherwise in writing, Shape Workspace is provided as a self-service platform and does not itself create a managed service, consultancy arrangement, or guaranteed project outcome.

16. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify users, for example through the website, the application, or account communications.

Your continued use of Shape Workspace after updated Terms take effect will mean you accept the revised Terms.

17. Governing law

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may also benefit from any mandatory protections available to you under the laws of the part of the United Kingdom in which you live.
